Agency Partner Program Terms and Conditions

This Agreement is between You (“Agency Partner”) and Us (“CookieYes”). This Agreement explains the terms and conditions that apply to your participation in our Agency Partner Program.

Please read this agreement carefully before signing up for the Agency Partner Program. By signing up, you agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms and conditions, you are not authorized to participate in our Agency Partner Program.

1. Rights infringement 

  1. You may not use CookieYes’s services to infringe or violate another party’s rights or reputation or do anything that violates the law or harms us or our users.
  2. You may not engage in activities that violate the intellectual property rights of the CookieYes or a third party or violate any of the applicable laws or regulations.

2. Automated Evaluations

  1. As part of the application process for the CookieYes Agency Partner Program, we use automated tools, including artificial intelligence (AI), to assess whether applicants meet our eligibility criteria. These tools analyze business-related data (such as company registration, website quality, and agency service offerings) to support our decision-making process.
    • The AI system is used exclusively for evaluating legal persons (e.g., registered businesses and agencies), not individuals.
    • No decisions are made solely on the basis of automated processing where such decisions produce legal or similarly significant effects on natural persons.
  2. Where the email address you use to verify eligibility is associated with a domain that differs from the organizational website URL you submit to us, you represent and warrant that you are duly authorized to act on behalf of, and legally bind, the entity that owns or controls that domain. We reserve the right, in our sole discretion, to suspend or revoke access to our services—regardless of eligibility status previously granted—if we determine that such authorization is lacking or cannot be reasonably verified.

3. Account termination

  1. CookieYes has the right to terminate or suspend your account at any time for reasons, including but not limited to the terms outlined in this Agreement:
    • For fraudulent or aggressive marketing methods
    • False claims of agency status
    • Spamming, such as mass emails or group posting
    • Activities that breach this agreement or any of CookieYes policies

5. Paid advertisements

  1. You must obtain prior approval from CookieYes before running any advertisements, including, but not limited to, pay-per-click (PPC) campaigns, display advertisements, and paid social media promotions about the products or services provided by CookieYes.
  2. Agencies seeking approval to run advertisements must submit a formal request to [email protected] with detailed information regarding the proposed ads, including ad copy, creative materials, targeting parameters (Demographics, Geography, Behaviour & Intent), and the intended advertising platforms.
  1. You are strictly prohibited from bidding on brand keywords associated with CookieYes or any variations or misspellings thereof. Examples of these keywords include, but are not limited to, cookieyes pricing plans, Cookiesyes, Yescookie, yes cookies, cookieyes cost, Cookieyes, cookie yes, cookie eyes, and cookieyes pricing.
  2. CookieYes reserves the right to approve or reject your ad campaigns. All ad campaign approvals will be communicated exclusively via email. No other methods of communication will be considered valid for the approval process.
  3. All approved ad campaigns are valid for the duration specified in the approval email. Approval of one ad campaign does not imply approval of subsequent campaigns, and the Agency must seek separate approval for each new advertising initiative.
  4. CookieYes retains the right to engage multiple Agencies for similar or identical campaigns. Approval of your ad campaign does not grant you exclusivity over it.
  5. You must adhere to the policies and terms of service of all advertising platforms used for running paid ads, including but not limited to Google Ads and any other relevant platforms. Ensure that all advertisements comply with applicable local, national, and international advertising laws and regulations.

6. Brand Features License

  1. CookieYes has the non-exclusive, non-transferable, royalty-free, revocable right to use your Brand Features on our website and marketing materials in connection with the Partner Program and this Agreement.
    • CookieYes has the right to use and display your corporate or trade name or domain name, logo and service marks as part of our ‘Partner Directory’ on our website.
  2. Subject to the terms of this Agreement, we grant you the limited, non-exclusive, non-transferable, royalty-free, revocable right to the use of CookieYes’ Brand Features on your website and marketing materials solely in connection with the Program and this Agreement.
  3. You must not use any of our Brand Features: (a) in a misleading or disparaging way; (b) outside the scope of the Program or this Agreement; (c) in a way that implies we endorse, sponsor or approve of your services or products; or (d) in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

7. Content Guidelines

  1. You are encouraged to use the content, media, and resources provided to you in order to promote the products and services offered by CookieYes. However, you are not permitted to modify these materials without the prior consent of CookieYes. Any use of these materials must include appropriate credits and attributions to CookieYes. 
  2. You are responsible for ensuring that any content you create or distribute on behalf of CookieYes is accurate and up-to-date. You must take reasonable steps to verify the accuracy of the information you provide and to keep it current at all times.
  3. You are prohibited from mentioning or promoting CookieYes on any website or platform that contains any form of misleading, fraudulent, defamatory, obscene, violent, illegal, harassing, hateful, or pornographic content. You agree that CookieYes has sole discretion to make the determination as to whether such content is present on a website or platform and to take appropriate action in response.

8. Responsibilities and Restrictions

  1. You cannot sign up for the Partner Program in order to use CookieYes for personal use. Personal use of CookieYes is not covered under the terms of the Agency Partner Program.
  2. You are prohibited from attempting to directly or indirectly sell CookieYes products or services to existing customers. Any violation of this provision may result in the termination of an individual’s or entity’s participation in the Partner Program.
  3. You are required to comply with all applicable laws and regulations, and to refrain from engaging in any activities that could be considered unfair or deceptive trade practices, fraudulent, illegal, overly aggressive, or questionable sales or marketing methods. Any such activities may result in the termination of your participation in the Partner Program and may also subject you to legal liability. You are solely responsible for ensuring that your activities are in compliance with the law and do not violate the rights of any third parties.
  4. You are not permitted to represent or hold yourself out to third parties as anything beyond an Agency Partner of CookieYes. You may not claim or imply that you are an agent or employee of CookieYes or that you have the authority to bind CookieYes to a contract. Any such representations or actions may result in the termination of your participation in the Partner Program and may also subject you to legal liability.
  5. For the purposes of these Terms, each Agency shall be considered an independent Controller with respect to the personal data of its clients. CookieYes shall have no responsibility or liability for the Agency’s compliance with applicable data protection laws.
  6. Agency Partners acknowledge and agree that participation in the Program is strictly non-exclusive. The Company may appoint, authorize, or contract with any number of other agency partners, resellers, or affiliates at its sole discretion, without restriction as to territory, industry, client segment, or otherwise.

9. Payments and Pricing

  1. Fees, billing cycles, discounts, and any other commercial terms applicable to Agency Partners shall be as set out on the Agency Dashboard purchase page, which is hereby incorporated by reference into this Agreement. The version of the purchase page in effect at the time of the Agency Partner’s initial order shall apply for that order term. Any subsequent updates to the purchase page shall not bind the Agency Partner unless the Agency Partner continues to place orders after the effective date of the updates. In the event of any inconsistency between the purchase page and this Agreement, the terms of this Agreement shall prevail.

10. Liability

  1. CookieYes will not be responsible for the misconduct of the Agency and the resulting consequences. 
  2. CookieYes reserves the right to suspend or revoke agency licenses if end-client usage violates applicable laws or CookieYes policies.
  3. CookieYes will not be liable for indirect or accidental damages (loss of revenue, commissions) due to loss of database files, or any results of intent of harm to the Program and/or to our website(s).
  4. CookieYes does not warrant that our Program or website(s) will be error-free. Therefore, CookieYes will not be liable for any interruptions or errors.

11. Indemnification

  1.  You agree to indemnify and hold harmless CookieYes and its affiliate and subsidiary companies, officers, directors, employees, and agents from any liabilities, damages, fines, judgments, claims, and costs arising out of or related to any and all claims sustained in connection with this Agreement due to your negligence or intentional misconduct.

12. Governing Law, Jurisdiction, and Attorney Fees

  1. This Agreement shall be governed by and construed per the laws of England and Wales.
  2. In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.

13. Miscellaneous

  1. An Agency Partner may enroll in both the CookieYes Affiliate Program and the Agency Partner Program; however, for each Customer, the Partner may receive benefits under primary source of sign up, and such benefits are non-cumulative and may not be combined.

14. Modification of terms

  1. CookieYes may modify or update this Agreement and other CookieYes terms from time to time, Therefore we advise you to review this Terms and Conditions. 
  2. If we change our terms, we will post the revised terms on this page. If you continue to use CookieYes after we have posted changes to these terms, you are agreeing to the revised terms.
